1. Definitions
In these Terms and Conditions:
- "Service" refers to the AI integration services provided by Mindforge, including opportunity assessment, system development and deployment, and performance management.
- "User" or "Client" refers to any individual or organization engaging our services or using our website.
- "We", "Us", or "Our" refers to Mindforge.
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements or proposals.
- "Deliverables" refers to the outputs specified in service agreements or proposals.
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accepting these terms on behalf of an organization, you represent that you have authority to bind that organization to these terms.
3. Service Description
We provide AI integration services to organizations in Malaysia and internationally. Our services include:
- AI Opportunity Assessment: Evaluation of potential AI applications within your organization
- AI System Development and Deployment: Design, development, and implementation of AI solutions
- AI Performance Management: Ongoing monitoring and optimization of deployed AI systems
Specific service details, scope, timelines, and deliverables are documented in individual service agreements or proposals.
4. User Responsibilities
4.1 Information Accuracy
You are responsible for providing accurate, complete, and current information when engaging our services. This includes business requirements, technical specifications, and any data provided for analysis or implementation.
4.2 Cooperation
You agree to:
- Provide timely access to necessary resources, information, and personnel
- Respond to information requests within agreed timeframes
- Participate in scheduled meetings and reviews
- Provide feedback on deliverables when requested
4.3 Prohibited Activities
You must not:
- Use our services for any unlawful purpose
- Attempt to reverse engineer or copy our methodologies without permission
- Interfere with the proper functioning of our systems or services
- Misrepresent your relationship with Mindforge
5. Intellectual Property
5.1 Our Intellectual Property
All methodologies, frameworks, templates, and general knowledge developed by Mindforge remain our intellectual property. This includes our assessment frameworks, development processes, and general approaches to AI integration.
5.2 Client-Specific Deliverables
Upon full payment, clients receive ownership of custom deliverables created specifically for their organization, including custom AI models, documentation, and implementation code. This ownership is subject to any third-party components or tools that have their own licensing terms.
5.3 Client Data
You retain all rights to your data and information provided to us. We obtain only the rights necessary to perform our services.
6. Payment Terms
6.1 Fees
Service fees are specified in individual service agreements or proposals. All fees are quoted in Malaysian Ringgit (RM) unless otherwise stated.
6.2 Payment Schedule
Payment terms vary by service:
- Assessment services: Full payment upon agreement signing
- Development services: Milestone-based payments as specified in agreements
- Performance Management: Monthly invoicing in advance
6.3 Late Payment
Invoices are due within 30 days of issue. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue payments exceeding 60 days.
6.4 Refund Policy
Refunds are considered on a case-by-case basis. For services already commenced, refunds may be provided on a pro-rata basis for work not yet performed, minus any costs already incurred.
7. Service Delivery and Timelines
Project timelines are estimates based on information available at project commencement. Actual timelines may vary based on:
- Complexity discovered during implementation
- Availability of client resources and information
- Changes in scope or requirements
- External dependencies beyond our control
We commit to communicating any timeline changes promptly and working collaboratively to minimize delays.
8. Disclaimers
8.1 Service Provision
Our services are provided on an "as is" basis. While we strive to deliver high-quality work, we cannot guarantee specific business outcomes or results from AI implementation.
8.2 No Absolute Guarantees
AI system performance depends on numerous factors including data quality, operational conditions, and proper use. We provide our professional assessment and implementation but cannot guarantee specific performance metrics or business outcomes.
8.3 Professional Advice Disclaimer
Our services constitute professional consulting in AI integration. They do not constitute legal, financial, or regulatory advice. You should consult appropriate professionals for such matters.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Our total liability for any claims arising from our services shall not exceed the fees paid for the specific service giving rise to the claim
- We are not liable for indirect, consequential, special, or punitive damages
- We are not liable for losses resulting from factors outside our reasonable control
- Claims must be brought within one year of the event giving rise to the claim
10. Confidentiality
Both parties agree to maintain confidentiality of information marked as confidential or which would reasonably be considered confidential. This obligation continues for three years following service completion.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Termination
11.1 Termination by Client
Clients may terminate services with 30 days written notice. Payment is required for all work performed through the termination date.
11.2 Termination by Mindforge
We may terminate services immediately if:
- Payment is more than 60 days overdue
- Client breaches material terms of the agreement
- Continuation of services becomes impractical or unlawful
11.3 Effects of Termination
Upon termination, we will provide work completed to date. Confidentiality obligations survive termination.
12. Dispute Resolution
12.1 Governing Law
These Terms and Conditions are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the Malaysian courts.
12.2 Informal Resolution
Before initiating formal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
12.3 Jurisdiction
Any legal proceedings shall be conducted in Kuala Lumpur, Malaysia.
13. General Provisions
13.1 Entire Agreement
These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between parties regarding our services.
13.2 Severability
If any provision is found to be unenforceable, the remaining provisions continue in full force and effect.
13.3 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
13.4 Assignment
You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations with notice to you.
13.5 Notices
All notices must be in writing and sent to the addresses specified in service agreements or to [email protected].
14. Changes to Terms
We reserve the right to modify these Terms and Conditions. Changes will be communicated through:
- Email notification to active clients
- Notice on our website for 30 days
- Update to the "Last Updated" date at the top of this page
Continued use of our services after changes take effect constitutes acceptance of the modified terms.
